NanoVibronix Announces Closing of $6,000,000 Public Offering


ELMSFORD, NY--(Marketwired - November 07, 2017) - NanoVibronix, Inc. ("NanoVibronix" or the "Company") (NASDAQ: NAOV), a medical device company utilizing the Company's proprietary and patented low intensity surface acoustic wave technology, today announced the closing of an underwritten public offering of 1,224,488 shares of its common stock (or common stock equivalents) and warrants to purchase up to 918,366 shares of common stock. Each share of common stock (or common stock equivalent) was sold with one five-year warrant to purchase 0.75 of one share of common stock, at an exercise price of $6.95 per whole share. The Company received net proceeds from the offering of approximately $5.1 million, after deducting the applicable underwriting discount and estimated offering expenses payable by the Company.

Following the pricing of the offering, the Company's common stock commenced trading on the NASDAQ Capital Market under the symbol "NAOV."

Dawson James Securities, Inc., served as the sole bookrunner for the offering.

The Company intends to use the net proceeds from the offering to cover expenses related to listing its shares on The NASDAQ Capital Market, expand its sales leadership and field level sales resources, for research and development and to implement its Surface Acoustic Wave platform to other applications, to pursue complimentary acquisitions and for general working capital.
