Cornerstone Chemical Company Announces Early Participation Results for the Previously Announced Exchange Offer and Consent Solicitation and Extension of the Early Tender Premium


Cornerstone Chemical Company, a Delaware corporation ("Cornerstone") announced today the early participation results of its previously announced private exchange offer (the "Exchange Offer") to certain Eligible Holders (as defined below) for any and all of its outstanding 6.750% Senior Secured Notes due 2024 (the "Existing Notes") for up to $450,000,000 aggregate principal amount of new notes to be issued by Cornerstone (the "New Notes"), upon the terms and subject to the conditions set forth in the Exchange Offer Memorandum and Consent Solicitation Statement dated as of February 1, 2023 (as amended or supplemented prior to the date hereof, the "Exchange Offer Memorandum").

As of 5:00 p.m., New York City time, on February 14, 2023 (the "Early Participation Deadline"), $447,094,000 aggregate principal amount outstanding of the Existing Notes, representing approximately 99.35% of the total principal amount outstanding of the Existing Notes, had been validly tendered for exchange and not validly withdrawn, as confirmed by Global Bondholder Services Corporation (acting and the Exchange Agent and the Information Agent for the Exchange Offer), and had been validly accepted for exchange by Cornerstone.

In conjunction with the Exchange Offer, Cornerstone received the necessary consents (the "Consents") solicited (the "Solicitation") from holders of Existing Notes to effect certain proposed amendments (the "Proposed Amendments") to the indenture governing the Existing Notes (the "Existing Indenture") to, among other things, permit the incurrence of a new senior secured $25 million loan (the "New Sponsor Loan"), the payment of a dividend to certain of its shareholders (the "Dividend"), to release the collateral with respect to the Existing Notes and to eliminate substantially all of the restrictive covenants and events of default and related provisions under the Existing Indenture, in each case, pursuant to the terms and subject to the conditions set forth in the Exchange Offer Memorandum.

Cornerstone has executed on February 15, 2023 a supplemental indenture to the Existing Indenture implementing the Proposed Amendments. However, only the amendments to permit the incurrence of the New Sponsor Loan and the payment of the Dividend became operative upon the execution of the supplemental indenture. All other Proposed Amendments will only become operative upon the settlement of the Exchange Offer, which is expected to occur on March 3, 2023 (the "Settlement Date"), which is the second business day after the Expiration Deadline. The Exchange Offer and the Solicitation of Consents will expire at 11:59 p.m., New York City time, on March 1, 2023 (the "Expiration Deadline"), unless extended or earlier terminated by Cornerstone, in its sole discretion.

Eligible Holders who validly tendered Existing Notes and delivered Consents, and did not validly revoke such tenders and Consents, on or prior to the Early Participation Deadline and whose Existing Notes are accepted for exchange by Cornerstone will receive on the Settlement Date $950 aggregate principal amount of New Notes for each $1,000 aggregate principal amount of Existing Notes (the "Exchange Consideration") and the early participation premium of $50 principal amount of New Notes for each $1,000 aggregate principal amount of Existing Notes (the "Early Participation Premium" and, together with the Exchange Consideration, the "Total Consideration"). Cornerstone is hereby amending the terms of the Exchange Offer to extend the payment of the Total Consideration, which includes the Early Participation Premium, to all Eligible Holders who validly tender Existing Notes and deliver Consents, and do not validly revoke such tenders and Consents, after the Early Participation Deadline but on or prior to the Expiration Deadline, and whose Existing Notes are accepted for exchange by Cornerstone.

The "Withdrawal Deadline" has not been extended and expired at 5:00 p.m., New York City time, on February 14, 2023. Accordingly, holders may no longer withdraw Existing Notes tendered in the Exchange Offer, except in certain limited circumstances as set forth in the Exchange Offer Memorandum. Except as modified by the terms of this press release, all other terms and conditions of the Exchange Offer and the Solicitation of Consents, as previously announced and described in the Exchange Offer Memorandum, remain unchanged.

As previously announced, Eligible Holders whose Existing Notes are accepted for exchange will not receive any additional consideration in respect of accrued and unpaid interest, additional interest, or any other amount owned, on exchanged Existing Notes. The first interest payment on the New Notes will include (i) from February 15, 2023 (the most recent interest payment date on the Existing Notes) to, but excluding, the Settlement Date, the accrued and unpaid interest on the Existing Notes tendered in the Exchange Offer therefor, at a rate of 6.750% per annum payable in cash (the same interest rate borne by the Existing Notes), plus (ii) from the Settlement Date to, but excluding, the first interest payment date on the New Notes, interest at the rate applicable to the New Notes (in cash and PIK); provided that the amount of accrued and unpaid interest shall only be equal to the accrued and unpaid interest on the principal amount of Existing Notes equal to the aggregate principal amount of New Notes an Eligible Holder receives.
